ข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้ (“ข้อกำหนดและเงื่อนไข”) ใช้บังคับระหว่าง บริษัท สตาร์ ฟูเอลส์ มาร์เก็ตติ้ง จํากัด (ซึ่งต่อไปนี้จะเรียกว่า “บริษัท”) กับผู้ที่บริษัทได้อนุมัติให้เป็นสมาชิกบัตร StarCard (ซึ่งต่อไปนี้จะเรียกว่า “สมาชิกบัตร”) และสมาชิกบัตรตกลงยินยอมผูกพันและปฏิบัติตามข้อกำหนดและเงื่อนไขฉบับนี้ทุกประการ ดังนี้

These StarCard Terms and Conditions (“StarCard T&Cs”) apply to Star Fuels Marketing Limited (hereinafter referred to as “Company”) and a person who is approved to be a StarCard member (hereinafter referred to as “StarCard Member”) and the StarCard Member agrees to be bound by and to comply with all these StarCard T&Cs, as set forth below.  

 

1.     ข้อกำหนดและเงื่อนไขทั่วไป

General Provisions

ข้อกำหนดและเงื่อนไขฉบับนี้ รวมถึงเอกสารประกอบการสมัครบัตร StarCard ใด ๆ ให้ถือเป็นสัญญาการใช้บัตร StarCard ระหว่างบริษัทกับสมาชิกบัตร (ซึ่งต่อไปนี้จะเรียกว่า “สัญญาการใช้บัตร StarCard”)

These StarCard T&Cs, including any supporting document for an application of StarCard shall constitute a StarCard Agreement between Company and the StarCard Member (hereinafter referred to as “StarCard Agreement”). 

 

2.     การออกและอายุการใช้งานบัตร StarCard

        StarCard Issuance and Validity Period

2.1.   บริษัทจะออกบัตร StarCard ให้แก่สมาชิกบัตรตามจํานวนที่สมาชิกบัตรแจ้งความประสงค์ในใบสมัครบัตร StarCard หรือตามดุลพินิจของบริษัท โดยที่บัตร StarCard แต่ละใบที่บริษัทจัดส่งให้จะยังไม่มีการลงลายมือชื่อของสมาชิกบัตรหรือผู้แทน ตัวแทน หรือลูกจ้างของสมาชิกบัตร (ซึ่งต่อไปนี้จะเรียกรวมกันว่า “ผู้ใช้บัตร”) แต่อย่างใด

Company will issue the StarCard to the StarCard Member in a number as requested by the StarCard Member in the StarCard application form or at Company's discretion.  Each StarCard issued and sent by Company has yet to be signed by the StarCard Member or its representative, agent or employee (hereinafter referred to as “StarCard Holder”). 

 

2.2.   บัตร StarCard แต่ละใบจะมีวงเงินใช้ต่อเดือนตามที่สมาชิกบัตรได้รับอนุมัติจากบริษัท และเมื่อรวมวงเงินของบัตร StarCard ทุกใบที่บริษัทออกให้แก่สมาชิกบัตรเข้าด้วยกันแล้ว จํานวนเงินทั้งหมดจะต้องไม่เกินวงเงินรวมตามที่บริษัทได้อนุมัติให้

Credit limit of each StarCard is on monthly basis and as approved by Company. When combining credit limits of all StarCards issued by Company to the StarCard Member, the total amount of credit that can be availed must not exceed the total credit limit approved by Company. 

 

2.3.   บัตร StarCard แต่ละใบที่บริษัทออกให้ จะมีระยะเวลาการใช้งาน 3 ปีหรือตามที่บริษัทกำหนด โดยบริษัทจะระบุเดือนและปีที่หมดอายุการใช้งานไว้บนบัตร StarCard แต่ละใบ

Each StarCard issued by Company shall be valid up to 3 years or as stipulated by Company, whereby the month and year of expiration will be indicated on each StarCard. 

 

2.4.   ก่อนวันหมดอายุการใช้งานของบัตร StarCard ที่สมาชิกบัตรถืออยู่ หากบริษัทพิจารณาต่ออายุการใช้งานบัตร StarCard ให้แก่สมาชิกบัตร ให้ถือว่าสมาชิกบัตรยอมรับและตกลงให้บริษัทต่ออายุบัตร StarCard  โดยบริษัทจะออกบัตร StarCard ใบใหม่เท่ากับจํานวนเดิมซึ่งสมาชิกบัตรถืออยู่ทดแทนให้แก่สมาชิกบัตร ทั้งนี้ สมาชิกบัตรจะต้องตัดบัตร StarCard ที่หมดอายุการใช้งานแล้วส่งกลับคืนมายังบริษัททันที

Prior to an expiration of the StarCard held by the StarCard Member, if Company considers to renew such StarCard, it shall be considered that the StarCard Member accepts and agrees to such renewal of StarCard. In this case, Company will issue a new StarCard in a number equal to that of the StarCard held by the StarCard Member for the replacement of the expired StarCard. The StarCard Member shall cut the expired StarCard and send it back to Company. 

 

3.     ค่าธรรมเนียมการออกบัตร StarCard

Fee for Issuance of StarCard

3.1.   กรณีที่เป็นการสมัครบัตร StarCard ใหม่ สมาชิกบัตรตกลงชำระค่าธรรมเนียมแรกเข้าในอัตรา 100 บาทต่อบัตร และชําระเพียงครั้งเดียว

In a case of a new application of StarCard, the StarCard Member agrees to pay Company a one-time joining fee at the rate of THB 100 per each StarCard issued.  

 

3.2.   กรณีที่เป็นการออกบัตร StarCard ใหม่เพื่อทดแทนบัตร StarCard ที่หมดอายุการใช้งาน สมาชิกบัตรตกลงชำระค่าธรรมเนียมการออกบัตรใหม่ในอัตรา 400 บาทต่อบัตร

In a case of an issuance of a new StarCard for replacement of the expired StarCard, the StarCard Member agrees to pay Company an issuance fee at the rate of THB 400 per each StarCard issued.

 

3.3.   กรณีที่เป็นการออกบัตร StarCard ใหม่เพื่อทดแทนบัตรเก่าที่ชํารุดเสียหายหรือสูญหาย สมาชิกบัตรตกลงชำระค่าธรรมเนียมการออกบัตรใหม่ในอัตรา 50 บาทต่อบัตร

In a case of an issuance of a new StarCard for replacement of the damaged, lost, or stolen StarCard, the StarCard Member agrees to pay Company an issuance fee at the rate of THB 50 per each StarCard issued. 

 

4.     การใช้บัตร StarCard

Use of StarCard

4.1.   ภายใต้ข้อกำหนดและเงื่อนไขฉบับนี้ สมาชิกบัตรสามารถใช้บัตร StarCard ได้ภายในวงเงินที่ได้รับอนุมัติจากบริษัท เพื่อชําระค่าสินค้าและ/หรือบริการ ณ สถานีบริการน้ำมันคาลเท็กซ์ เฉพาะสถานีที่มีเครื่องหมายและ/หรือสัญลักษณ์ ซึ่งแสดงว่ารับบัตร StarCard 

Subject to these StarCard T&Cs, the StarCard Member can use the StarCard up to the credit limit approved by Company to purchase products and/or services only at Caltex oil stations having marks and/or symbols indicating that the StarCard is accepted.  

 

4.2.   สมาชิกบัตร (ไม่ว่าโดยผู้ใช้บัตรหรือบุคคลอื่นใด) สามารถนำบัตร StarCard ไปใช้ในการชําระค่าสินค้าและ/หรือบริการตามข้อ 4.1 ได้แต่เฉพาะกับรถยนต์คันที่มีหมายเลขทะเบียนรถตรงกับหมายเลขทะเบียนรถที่ปรากฏบนบัตร StarCard เท่านั้น โดยผู้ใช้บัตรหรือบุคคลอื่นใดจะต้องลงนามในการใช้บัตร StarCard ด้วย ทั้งนี้ ให้ถือว่าบุคคลดังกล่าวเป็นตัวแทนของสมาชิกบัตรและมีอํานาจลงนามแทนสมาชิกบัตรเพื่อการใช้บัตร StarCard ดังกล่าว

The StarCard Member (by either the StarCard Holder or any person) can use StarCard to purchase products and/or services pursuant to Clause 4.1 only with a vehicle bearing the same plate number as the plate number which appears on the StarCard.  The StarCard Holder or any person must sign when using the StarCard and it shall be deemed that such person is the representative of the StarCard Member and is authorized to sign on behalf of the StarCard Member for such use of the StarCard. 

 

4.3.   ภายใต้เงื่อนไขที่กำหนดในข้อ 4.4 และข้อ 6.1(2) สมาชิกบัตรตกลงและยินยอมรับผิดชอบในการควบคุมดูแลการใช้บัตร StarCard หากมีผู้อื่นที่มิใช่ผู้ใช้บัตรหรือผู้ที่สมาชิกบัตรให้ความยินยอมได้นําบัตร StarCard นี้ไปใช้ ไม่ว่าด้วยเหตุใดซึ่งทําให้สถานีบริการน้ำมันคาลเท็กซ์ยอมรับบัตร StarCard แทนการชําระค่าสินค้าและหรือบริการด้วยเงินสด สมาชิกบัตรยินยอมชดใช้เงินจํานวนนั้นคืนให้กับบริษัทจนครบถ้วน

Subject to the conditions under Clauses 4.4 and 6.1(2), the StarCard Member agrees to be responsible for supervising the use of the StarCard. If someone other than the StarCard Holder or a person permitted by the StarCard Member has used the StarCard and caused the Caltex oil station to accept the StarCard instead of the cash payment for goods and/or services, the StarCard Member agrees to repay in full to Company such purchase prices.   

 

4.4.   สมาชิกบัตรมีหน้าที่เก็บรักษาบัตร StarCard ไว้ในที่ปลอดภัย หากบัตร StarCard เกิดสูญหาย ถูกขโมยหรือตกอยู่ในความครอบครองของผู้ที่สมาชิกบัตรไม่ประสงค์ให้ใช้บัตร StarCard ไม่ว่ากรณีใด ๆ สมาชิกบัตรต้องรีบแจ้งให้บริษัททราบเพื่อขอระงับการใช้บัตร StarCard ชั่วคราวตามวิธีการและระยะเวลาที่กำหนดในข้อ 6.1(2) เพื่อทางบริษัทจะได้ดําเนินการตามวิธีปฏิบัติของบริษัทต่อไป และไม่ว่ากรณีใด ๆ ก็ตาม หากสมาชิกบัตรได้รับบัตร StarCard ที่สูญหาย ถูกขโมยหรือตกอยู่ในความครอบครองของบุคคลอื่นกลับคืนมา สมาชิกบัตรจะต้องตัดบัตร StarCard แล้วส่งกลับคืนมายังบริษัททันที

The StarCard Member has a duty to keep the StarCard safe. In the event that the StarCard is lost, stolen or in a possession of any person not permitted by the StarCard Member to use, the StarCard Member shall immediately notify Company for temporary suspension of the use of StarCard pursuant to the procedures and period specified in Clause 6.1(2) in order that Company will further proceed according to its practices. And in any case, if the StarCard Member received the lost or stolen StarCard or otherwise the StarCard that was in a possession of the other has been returned to the StarCard Member, the StarCard Member must cut such StarCard and send it back to Company.

     

5.     การชำระเงินและเบี้ยปรับ

Payment and Penalty

5.1.   บริษัทจะจัดส่งใบแจ้งยอดรายการการใช้บัตรซึ่งแสดงรายการและยอดเงินที่ค้างชำระ รวมทั้งค่าธรรมเนียมและค่าบริการต่าง ๆ ให้แก่สมาชิกบัตรเดือนละครั้ง โดยสมาชิกบัตรมีหน้าที่ในการตรวจสอบธุรกรรมทั้งหลายที่เกิดขึ้นจากการใช้บัตร StarCard หากพบว่ามีข้อผิดพลาดเกิดขึ้นในธุรกรรมดังกล่าว สมาชิกบัตรมีสิทธิโต้แย้งรายการการทำธุรกรรมที่ปรากฏในใบแจ้งยอดรายการการใช้บัตรภายใน 10 วันทำการนับแต่วันที่สมาชิกบัตรได้รับใบแจ้งยอดรายการการใช้บัตรจากบริษัท  

Company will send the StarCard Member the monthly statement describing transactions and total outstanding amount, including fees and services charges on a monthly basis. The StarCard Member shall examine all the transactions made to the StarCard. In case of any discrepancy in the transaction, the StarCard Member is entitled to dispute such transaction as appears in the statement within 10 business days from the date of the receipt of the statement from Company.   

 

อย่างไรก็ดี ความในวรรคก่อนไม่เป็นการตัดสิทธิของสมาชิกบัตรในภายหลัง หากสมาชิกบัตรสามารถพิสูจน์ได้ว่าธุรกรรมที่ปรากฏในใบแจ้งยอดรายการการใช้บัตรบางรายการไม่ถูกต้อง และไม่ได้เป็นความผิดหรือความชำรุดบกพร่องของสมาชิกบัตรและ/หรือผู้ใช้บัตร แต่ทั้งนี้ สมาชิกบัตรจะต้องแจ้งหรือทักท้วงภายในระยะเวลาไม่เกิน 60 วันนับแต่วันที่สมาชิกบัตรได้รับใบแจ้งยอดรายการการใช้บัตรจากบริษัท หากสมาชิกบัตรไม่ได้โต้แย้งหรือทักท้วงภายในเวลาที่กำหนด ให้ถือว่าสมาชิกบัตรตกลงรับว่าธุรกรรมที่ปรากฏในใบแจ้งยอดรายการการใช้บัตรดังกล่าวถูกต้อง

In any case, the foregoing paragraph does not deprive the right of the StarCard Member to later dispute the transaction provided that the StarCard Member can prove that the transaction shown in the statement is incorrect, and that it is not due to the fault or mistake of the StarCard Member and/or StarCard Holder. The StarCard Member however must notify or rebut such transaction no later than 60 days from the date of the receipt of the statement from Company. If the StarCard Member does not notify or rebut within the specified period, it shall be considered that the StarCard Member accepts that the transactions shown in the statement are correct.  

 

5.2.   สมาชิกบัตรตกลงจะชําระเงินตามจํานวนและภายในระยะเวลาที่กําหนดไว้ในใบแจ้งยอดรายการการใช้บัตร หากสมาชิกบัตรไม่ชําระเงินตามจํานวนและภายในระยะเวลาที่กําหนดไว้ในใบแจ้งยอดรายการการใช้บัตรให้แก่บริษัท สมาชิกบัตรยินยอมเสียเบี้ยปรับในจํานวนเงินคงค้าง นับตั้งแต่วันที่ออกใบแจ้งยอดรายการการใช้บัตร (Statement Date) ในอัตราไม่เกินร้อยละ 18 ต่อปีและค่าธรรมเนียมอื่น ๆ (ถ้ามี)  

The StarCard Member agrees to pay in full all the outstanding amount within the due date indicated in the statement. If the StarCard Member fails to pay the outstanding amount within the due date indicated in the statement to Company, the StarCard Member agrees to pay a penalty of not exceeding 18 percent per year of such unpaid outstanding amount from the date of an issuance of the statement (Statement Date) and charges (if any).   

 

5.3.   ในกรณีที่บริษัทผ่อนผันให้สมาชิกบัตรใช้บัตร StarCard เกินวงเงินที่บริษัทกําหนดให้ไม่ว่าด้วยเหตุใด ๆ ก็ตาม ให้ถือว่า บริษัทปฏิบัติไปด้วยความยินยอมของสมาชิกบัตรและจํานวนเงินส่วนที่เกินวงเงินไปนั้น สมาชิกบัตรตกลงจะชําระคืนให้แก่บริษัทพร้อมดอกเบี้ยและค่าปรับอื่น ๆ (ถ้ามี) ในอัตราที่ระบุไว้ในใบแจ้งยอดรายการการใช้บัตรจนกว่าจะมีการชําระหนี้ครบถ้วน

In an event that Company permits the StarCard Member to use the StarCard in an amount exceeding the credit limit assigned by Company for any reason, it shall be deemed that such permission is consented by the StarCard Member and the StarCard Member agrees to pay the amount exceeding the credit limit, including interests and penalty fees (if any) at the rate specified in the statement until the outstanding amount is paid in full.  

 

5.4.   หากมีการติดตามทวงถามให้สมาชิกบัตรชําระหนี้อันเกิดจากการใช้บัตร StarCard สมาชิกบัตรต้องรับผิดชอบชดใช้ค่าใช้จ่ายที่เกิดขึ้นกับบริษัทเต็มจํานวน ซึ่งรวมทั้งค่าใช้จ่ายในการดําเนินคดีตามกฎหมาย ค่าทนายความและค่าใช้จ่ายอื่น ๆ ที่เกิดขึ้นด้วย

Where the tracing and collecting of outstanding debts from the StarCard Member has occurred, the StarCard Member shall be liable to pay the expenses incurred to Company in full, which includes the costs for legal proceedings, attorney fees and other expenses incurred.  

 

5.5.   ในกรณีที่สมาชิกบัตรได้เข้าทำสัญญาการใช้บัตร StarCard กับบริษัทโดยมีหลักประกันในการชําระหนี้ และเมื่อสมาชิกบัตรไม่ชำระหนี้ตามสัญญาการใช้บัตร StarCard สมาชิกบัตรตกลงและยินยอมให้บริษัทหรือบุคคลอื่นซึ่งได้รับมอบอำนาจจากบริษัทบังคับหลักประกัน หรือเรียกร้องจากผู้ค้ำประกันหรือผู้ให้หลักประกันใด ๆ (ถ้ามี) เพื่อชําระหนี้ที่เกิดขึ้นจากการใช้บัตร StarCard ได้

Where the StarCard Member has entered into the StarCard Agreement with Company with collateral provided for debt payment and when the StarCard Member fails to pay debt under the StarCard Agreement, the StarCard Member agrees and consents that Company or other person assigned by Company can enforce such collateral or claim from the guarantor or any person providing the collateral (if any) for repayment of debts incurred from the use of StarCard.    

 

5.6.   ในกรณีที่สมาชิกบัตรมีความประสงค์ขอขยายวงเงินที่ได้รับอนุมัติจากบริษัท สมาชิกบัตรตกลงที่จะให้ข้อมูลทางการเงินต่าง ๆ หรือจัดหาหลักประกันอื่นใดให้แก่บริษัทตามที่เห็นสมควร  

Where the StarCard Member desires to increase the credit limit approved by Company, the StarCard Member agrees to provide Company with financial information or arrange for any other collateral as appropriate.    

 

5.7.   ในระหว่างที่สัญญาการใช้บัตร StarCard นี้มีผลใช้บังคับ หากบริษัทพิจารณาแล้วเห็นว่าสถานะทางการเงินของสมาชิกบัตรอยู่ในสภาพที่ไม่ดีหรือเป็นที่ไม่น่าพอใจ บริษัทอาจร้องขอให้สมาชิกบัตรชําระหนี้ที่ค้างชําระด้วยเงินสดหรือวางหลักประกันให้เป็นที่พอใจแก่บริษัท รวมถึงมีสิทธิที่จะปฏิเสธหรือระงับการใช้บัตร StarCard เป็นการชั่วคราวหรือเลิกสัญญาการใช้บัตร StarCard ได้ตามที่กำหนดในข้อ 6.2.1 

During the term of the StarCard Agreement, if Company considers and views that the financial status of the StarCard Member is not good or unsatisfying, Company could request the StarCard Member to pay the outstanding amount by cash or deposit collateral at Company’s satisfactory. In addition, Company has the right to temporarily refuse or suspend the use of StarCard or terminate the StarCard Agreement as specified in Clause 6.2.1. 

 

5.8.   ในกรณีที่สมาชิกบัตรได้แจ้งความประสงค์เป็นลายลักษณ์อักษรขอรับใบแจ้งยอดรายการการใช้บัตรในรูปแบบเอกสารหรือรูปแบบอิเล็กทรอนิกส์กับบริษัทแล้ว สมาชิกบัตรมีสิทธิขอเปลี่ยนแปลงการขอรับใบแจ้งยอดรายการการใช้บัตรในรูปแบบดังกล่าวได้ โดยสมาชิกบัตรต้องแจ้งเป็นลายลักษณ์อักษรให้บริษัททราบล่วงหน้าเป็นระยะเวลาไม่น้อยกว่า 30 วัน

Where the StarCard Member has already made a request in writing to receive the statement in a document or electronic format from Company, the StarCard Member has the right to change the format of the statement to be received, but the request in writing must be made at least 30 days in advance. 

 

6.     การเลิกสัญญา

Termination

6.1.   การระงับหรือเลิกสัญญาการใช้บัตร StarCard โดยสมาชิกบัตร

Suspension or Termination of the StarCard Agreement by StarCard Member  

 

6.1.1. สมาชิกบัตรมีสิทธิยกเลิกการใช้บัตร StarCard ใบหนึ่งใบใดหรือบอกเลิกสัญญาการใช้บัตร StarCard เมื่อใดก็ได้ โดยสมาชิกบัตรจะต้องแจ้งยกเลิกการใช้บัตร StarCard หรือบอกเลิกสัญญาการใช้บัตร StarCard เป็นลายลักษณ์อักษรให้บริษัททราบล่วงหน้าเป็นหนังสือไม่น้อยกว่า 24 ชั่วโมง และให้ถือว่าสิทธิของสมาชิกบัตรในการใช้บัตร StarCard ดังกล่าวระงับลงทันทีเมื่อครบกําหนดระยะเวลาตามที่สมาชิกบัตรได้แจ้งให้บริษัททราบ ทั้งนี้ บริษัทตกลงจะคืนเงินค่าธรรมเนียมการใช้บริการให้ตามส่วนของระยะเวลาที่ยังมิได้ใช้บริการ

The StarCard Member has the right to cancel the use of StarCard or terminate the StarCard Agreement, at any time. The StarCard Member shall notify Company in writing of the cancellation of the use of StarCard or the termination of the StarCard Agreement not less than 24 hours in advance and it shall be deemed that the right of the StarCard Member to use the StarCard shall be terminated immediately upon the lapse of the period notified by the StarCard Member. In connection with the above, Company agrees to refund the fee pro-rata according to the period of non-utilization of services.

  

6.1.2. ในกรณีที่บัตร StarCard สูญหายหรือถูกขโมย สมาชิกบัตรมีสิทธิขอระงับการใช้บัตร StarCard ชั่วคราวทางโทรศัพท์หรือโดยเครื่องมือสื่อสารอย่างอื่นหรือโดยวิธีอื่นซึ่งสามารถติดต่อถึงกันได้ทำนองเดียวกันตามวิธีการที่กำหนดไว้ในข้อ 7.1 และบริษัทจะระงับการให้บริการบัตร StarCard แก่สมาชิกบัตรภายใน 5 นาทีนับแต่เวลาที่ได้รับแจ้งการขอระงับการใช้บัตร StarCard ดังกล่าว   

In event of loss or theft of the StarCard, the StarCard Member is entitled to request for temporary suspension of the use of StarCard via phone call or other communication devices or any other methods that can be used for communication in the similar manner as specified in Clause 7.1 and Company shall suspend the StarCard services within 5 minutes after receipt of the request of such suspension of the StarCard.   

 

เมื่อสมาชิกบัตรได้แจ้งขอระงับการใช้บัตร StarCard ชั่วคราวตามวรรคก่อนแล้ว สมาชิกบัตรไม่ต้องรับผิดชอบในภาระหนี้สินที่เกิดขึ้นภายหลังจากครบกําหนดเวลา 5 นาที นับแต่เวลาที่บริษัทได้รับแจ้งการขอระงับการใช้บัตร StarCard เว้นแต่บริษัทพิสูจน์ได้ว่าภาระหนี้สินที่เกิดขึ้นเป็นการกระทําของสมาชิกบัตรและ/หรือผู้ใช้บัตร รวมไปถึงการร่วมมือกับบุคคลอื่นใดซึ่งอาจมีส่วนได้เสียในผลประโยชน์ที่อาจมีขึ้นแก่สมาชิกบัตร

Once the StarCard Member has notified Company of the temporary suspension of the use of StarCard according to the previous paragraph, the StarCard Member shall not be responsible for the outstanding debt incurred after 5 minutes from the time Company received the request of such suspension of the use of StarCard, unless Company can prove that the outstanding debt incurred has caused by the act of the StarCard Member and/or the StarCard Holder, including the cooperation between those and any other person who may have interests in the benefits granting to the StarCard Member.   

 

6.1.3. การยกเลิกการใช้บัตร StarCard ใบหนึ่งใบใด หรือการบอกเลิกสัญญาการใช้บัตร StarCard ตามข้อ 6.1.1 หรือการขอระงับการใช้บัตร StarCard ชั่วคราวตามข้อ 6.1.2 ย่อมไม่เป็นเหตุให้สมาชิกบัตรหลุดพ้นจากความรับผิดชอบในการชำระหนี้ตามสัญญาการใช้บัตร StarCard แก่บริษัท จนกว่าบริษัทจะได้รับชำระหนี้ และ/หรือค่าใช้จ่ายทั้งปวงที่เกี่ยวเนื่องจนครบถ้วน

The cancellation of each StarCard or the termination of the StarCard Agreement pursuant to Clause 6.1.1 or the request for a temporary suspension of the use of StarCard pursuant to Clause 6.1.2 will not release the StarCard Member from the responsibilities for paying Company the outstanding debts arising from the StarCard Agreement until Company has received repayment of debts and/or relevant expenses in full.  

 

6.2.   การระงับหรือเลิกสัญญาการใช้บัตร StarCard โดยบริษัท

Suspension or Termination of the StarCard Agreement by Company 

 

6.2.1. บัตร StarCard เป็นกรรมสิทธิ์ของบริษัท บริษัทมีสิทธิที่จะปฏิเสธหรือระงับการใช้บัตร StarCard เป็นการชั่วคราวหรือเลิกสัญญาการใช้บัตร StarCard โดยจะแจ้งให้สมาชิกบัตรทราบพร้อมด้วยเหตุผลเป็นลายลักษณ์อักษรล่วงหน้าอย่างน้อย 3 วัน เมื่อมีเหตุดังต่อไปนี้

(1)    สมาชิกบัตรได้ค้างชําระเงินเลยกําหนดระยะเวลาที่บริษัทแจ้งให้ทราบ

(2)    สมาชิกบัตรปฏิบัติผิดข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้

(3)    สมาชิกบัตรและหรือผู้ใช้บัตรมีพฤติกรรมส่อไปในทางทุจริตในการใช้บัตร StarCard

(4)    สถานะทางการเงินของสมาชิกบัตรอยู่ในสภาพที่ไม่ดีหรือเป็นที่ไม่น่าพอใจ

StarCard remains the ownership of Company. Company has the right to temporarily deny or suspend the use of StarCard or terminate the StarCard Agreement by notifying the StarCard Member in writing at least 3 days in advance with the reason provided that any of the following cases has occurred: 

(1)   The StarCard Member fails to pay the outstanding amount within the period of which Company has notified; 

(2)   The StarCard Member is in breach of one of any of these StarCard T&Cs; 
(3)   The StarCard Member and/or the StarCard Holder has fraudulent behaviour in using the StarCard;

(4)   Financial status of the StarCard Member is not in good situation or unsatisfactory.  

 

6.2.2. เมื่อบริษัทเลิกสัญญาการใช้บัตร StarCard สมาชิกบัตรจะต้องตัดบัตรออกเป็นสองส่วนและส่งคืนให้บริษัททันทีที่ได้รับหนังสือแจ้งจากบริษัทตามข้อ 6.2.1 

When Company terminates the StarCard Agreement, the StarCard Member shall cut the StarCard into two parts and send them back to Company immediately upon the receipt of the written notification from Company pursuant to Clause 6.2.1.   

 

6.2.3. การที่บริษัทปฏิเสธหรือระงับการใช้บัตร StarCard เป็นการชั่วคราวหรือเลิกสัญญาการใช้บัตร StarCard ไม่ว่าด้วยเหตุผลใด หากปรากฏว่าสมาชิกบัตรยังมีหนี้ตามสัญญาการใช้บัตร StarCard ค้างชำระอยู่ สมาชิกบัตรตกลงจะชำระให้แก่บริษัทจนเสร็จสิ้นพร้อมทั้งดอกเบี้ย ค่าธรรมเนียม และค่าปรับ (หากมี) แล้วแต่กรณี

In a case where Company temporarily denies or suspends the use of StarCard or terminate the StarCard Agreement for any reason, if the StarCard Member still has outstanding debts under the StarCard Agreement, the StarCard Member agrees to pay Company the full amount of outstanding debts, including interests, fees and penalty fees (if any), as the case may be. 

 

7.     การบอกกล่าว

Notice

7.1.   คำบอกกล่าว การร้องขอ การเรียกร้อง การทวงถามหรือการติดต่อใด ๆ (ซึ่งต่อไปนี้จะเรียกรวมกันว่า “คำบอกกล่าว”) ที่เกี่ยวข้องกับสัญญาการใช้บัตร StarCard นี้ บริษัทและสมาชิกบัตรตกลงให้ใช้ข้อมูลการติดต่อของแต่ละฝ่าย ดังต่อไปนี้   

Any notice, request, claim, demand or communication (hereinafter referred to as “Notice”) related to this StarCard Agreement, Company and the StarCard Member agree to use the contact information of each party, as follows:

ให้ใช้ข้อมูลและรายละเอียดตามที่สมาชิกบัตรระบุในใบสมัครบัตร StarCard หรือตามที่สมาชิกแจ้งตามข้อ 7.2 แล้วแต่กรณี   

StarCard Member Contact Information 

shall use contact information as indicated by the StarCard Member in the StarCard Application Form or as notified by the StarCard Member pursuant to Clause 7.2, as the case may be.  

 

7.2.   สมาชิกบัตรมีหน้าที่จะต้องแจ้งให้บริษัททราบถึงการเปลี่ยนแปลงสถานที่ตั้ง สํานักงาน บุคคลผู้มีอํานาจลงนาม หรือบุคคลผู้ติดต่อหลัก โดยแจ้งเป็นหนังสือให้บริษัททราบล่วงหน้าก่อนวันที่มีการเปลี่ยนแปลงไม่น้อยกว่า 30 วันทำการ

The StarCard Member is obliged to notify Company of its change of address, office, authorized person or contact point, by written notice to Company at least 30 business days prior to the date of such change. 

 

8.     การประมวลผลข้อมูล

Data Processing

8.1.   ภายใต้บังคับของข้อ 8.2 สมาชิกบัตรตกลงและยินยอมให้  

Subject to Clause 8.2, the StarCard Member agrees and consents to the following:  

 

1.     บริษัทมีสิทธิทําการเปิดเผยข้อมูลของสมาชิกบัตรที่บริษัทได้รับมาให้แก่บริษัทในเครือ หรือตัวแทน หรือคู่ค้าของบริษัทหรือบริษัทในเครือ ที่มีอยู่ในปัจจุบันหรือที่จะมีต่อไปในอนาคต นอกจากนั้น ในกรณีที่ปรากฏว่า สมาชิกบัตรไม่ชําระหนี้ไม่ว่าบางส่วนหรือทั้งหมดให้แก่บริษัทตามข้อ 3 ของข้อกำหนดและเงื่อนไขฉบับนี้ บริษัทสามารถเปิดเผยข้อมูลดังกล่าวให้แก่หน่วยงานใด ๆ ที่เกี่ยวข้องกับเครดิตของผู้บริโภคได้และหน่วยงานดังกล่าวยังสามารถเปิดเผยข้อมูลดังกล่าวต่อไปยังผู้ให้เครดิต ตัวแทน หรือองค์กรอื่นใด เพื่อวัตถุประสงค์ในการตรวจสอบเครดิตของสมาชิกบัตรหรือการประเมินเครดิต หรือการเรียกเก็บเงินหรือการตัดสินใจในการประเมินหนี้และความรับผิดรวมถึงแต่ไม่จํากัดเพียงการดําเนินการใด ๆ อันเกี่ยวพันกับวัตถุประสงค์ดังกล่าวมาข้างต้น

Company has the right to disclose information of the StarCard Member received to, both current and future, Company’s affiliates, agents or business partners of Company or Company’s affiliates. In addition, where it appears that StarCard Member failed to pay, in whole or in part, the outstanding amount to Company pursuant to Clause 3 of these StarCard T&Cs, Company can disclose such information to any agency related to the consumer credit and such agency can further disclose such information to the creditor, agent or any other organization for the purpose of inspection of the credit of the StarCard Member or credit assessment or debt collection or making decision on debt and liability assessment, including but not limited to any proceeding involving the aforesaid purposes.   

 

2.     บริษัทสามารถเปิดเผยข้อมูลของสมาชิกบัตรให้แก่บุคคลภายนอกต่าง ๆ ได้ตราบเท่าที่บริษัทเชื่อว่าสามารถกระทําได้ตามกฎหมาย หรือตามที่บริษัทเห็นว่ามีความจําเป็นและเร่งด่วน นอกจากนี้ บริษัทมีสิทธิที่จะให้ความร่วมมือกับหน่วยงานต่าง ๆ ที่บังคับใช้กฎหมายอันเกี่ยวข้องกับการใช้บัตร StarCard ไปในทางที่ผิดกฎหมาย รวมถึงบริษัทมีสิทธิทํารายงานต่าง ๆ เพื่อดําเนินการตรวจสอบหรือดําเนินคดีตามกฎหมายได้

Company has the right to disclose information of the StarCard Member to the third parties to extent that Company believes it is legitimate or Company sees that it is necessary and urgent.  Additionally, Company has the right to cooperate with law enforcement agencies regarding the misuse of StarCard, and to produce any report for inspection or legal proceedings purposes. 

 

คําว่า “ข้อมูล” หมายถึง ข้อมูลเครดิต ข้อมูลส่วนตัว และ/หรือข้อมูลใด ๆ ที่บริษัทได้รับจากสมาชิกบัตรหรือผู้ใช้บัตรอันเกี่ยวข้องหรือเกี่ยวเนื่องกับการสมัครบัตร StarCard และการใช้บัตร StarCard นี้ ส่วนคําว่า “บริษัทในเครือ” หมายถึง บริษัทใด ๆ ที่มีความเกี่ยวพันกับบริษัท

The term “information” means credit information, personal information and/or any information Company received from the StarCard Member or the StarCard Holder related to or in connection with the application of the StarCard and the use of the StarCard.  The term “Company’s affiliates” means any company associated with Company. 

 

8.2.   ในการดำเนินการใด ๆ เกี่ยวกับข้อมูลส่วนบุคคลซึ่งเกี่ยวข้องกับการสมัครบัตร StarCard และ/หรือการปฏิบัติตามสัญญาการใช้บัตร StarCard นี้ บริษัทตกลงที่จะปฏิบัติตามพระราชบัญญัติคุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 และกฎหมายลำดับรองที่เกี่ยวข้อง รวมถึงกฎหมายฉบับแก้ไขเพิ่มเติมในอนาคต (ถ้ามี) อย่างเคร่งครัด

In any processing of personal data related to an application of the StarCard and/or the performance of this StarCard Agreement, Company shall strictly comply with the Personal Data Protection Act B.E.2562 (2019) and its relevant subordinate legislation, as well as an amendment thereto (if any).   

 

8.3.   บริษัทจะใช้เทคโนโลยี และกระบวนการต่าง ๆ ที่ออกแบบขึ้นมา เพื่อใช้ป้องกันข้อมูล (ซึ่งรวมถึงข้อมูลส่วนบุคคล) ของสมาชิกบัตรและ/หรือผู้ใช้บัตรจากการเข้าถึง การใช้ หรือการเปิดเผยต่าง ๆ โดยไม่ได้รับอนุญาต ไม่ว่าข้อมูลดังกล่าวจะถูกดําเนินการ ณ ที่ใด และบริษัทจะดําเนินการให้ผู้ให้บริการของตนเข้าถึง ใช้ และเปิดเผยข้อมูลต่าง ๆ ดังกล่าว ให้สอดคล้องกับมาตรฐานต่าง ๆ ของบริษัท ซึ่งรวมถึงการใช้มาตรการที่จัดทําขึ้นเพื่อปกป้องข้อมูลจากการเข้าถึง การใช้ หรือการเปิดเผยโดยไม่ได้รับอนุญาต

Company shall use technology and processes designed to protect information (including personal data) of the StarCard Member and/or the StarCard Holder from unauthorized access, use or disclosure, regardless of the place where such information has been processed. Company shall arrange its service providers to access, use and disclose such information to be in accordance with Company’s standards, including to apply measures designed to protect information from unauthorized access, use or disclosure.  

 

8.4.   บริษัทไม่ต้องรับผิดชอบในการกระทําหรือการละเว้นการกระทําของหน่วยงานใด ๆ ตัวแทนหรือองค์กรใด ๆ หรือของคู่ค้าของบริษัท หรือหน่วยงานใด ๆ ที่เกี่ยวข้องกับเครดิตของผู้บริโภคหรือผู้ให้เครดิตหรือบุคคลภายนอกอื่นใดที่ได้รับข้อมูลของสมาชิกบัตรจากบริษัทรวมทั้งการนําข้อมูลดังกล่าวไปใช้ไม่ว่ากรณีใด ๆ

Company shall not be liable for an act or an omission to perform an act of any agency, representative or organization or of Company’s business partners or any agency related to the consumer credit or the creditor or the third party receiving the StarCard Member’s information from Company, including the use of such information in any case.  

9.     การแก้ไขหรือการเปลี่ยนแปลงข้อกำหนดและเงื่อนไข

Revision or Amendment of StarCard T&Cs

9.1.   ภายใต้บังคับของข้อ 9.2 บริษัทมีสิทธิแก้ไขหรือเปลี่ยนแปลงข้อกำหนดและเงื่อนไขฉบับนี้หรือข้อกำหนดหรือเงื่อนไขอื่นใดที่เกี่ยวข้องกับการใช้บัตร StarCard อัตราดอกเบี้ย อัตราเบี้ยปรับ อัตราค่าธรรมเนียม อัตราค่าบริการและค่าใช้จ่ายต่าง ๆ รวมทั้งหลักเกณฑ์การใช้บัตร StarCard หรือข้อสัญญาใด ๆ เกี่ยวกับบัตร StarCard ได้ตลอดเวลาตามที่บริษัทเห็นสมควร โดยบริษัทจะแจ้งให้สมาชิกบัตรทราบเป็นลายลักษณ์อักษรไปยังที่อยู่ล่าสุดที่สมาชิกบัตรแจ้งให้บริษัททราบตามข้อ 7 ล่วงหน้าไม่น้อยกว่า 30 วัน ก่อนมีผลใช้บังคับ หรือในกรณีเร่งด่วน บริษัทจะแจ้งสมาชิกบัตรทางจดหมายหรือประกาศทางหนังสือพิมพ์รายวันภาษาไทยที่แพร่หลายในประเทศล่วงหน้าเป็นระยะเวลาไม่น้อยกว่า 7 วัน ก่อนมีผลใช้บังคับ ทั้งนี้ ในกรณีการแจ้งโดยประกาศทางหนังสือพิมพ์ บริษัทจะแจ้งสมาชิกบัตรเป็นลายลักษณ์อักษรอีกครั้งหนึ่งด้วย  

Subject to Clause 9.2, Company has the right to revise or amend these StarCard T&Cs or any other terms or conditions related to the use of StarCard, interest rates, penalty fees, services charges, and other expenses, including the criteria on the use of StarCard or any contract provision regarding StarCard at any time Company sees appropriate. Company will notify the StarCard Member, in writing, of revision or amendment to the last known address as updated by the StarCard Member pursuant to Clause 7 not less than 30 days in advance of the effective date. In an urgent case, Company will inform the StarCard Member by mail or announcement in the domestic Thai language daily newspaper not less than 7 days in advance of the effective date. In a case of announcement in the newspaper, Company shall also inform the StarCard Member in writing.  

 

9.2.   การแก้ไขหรือเปลี่ยนแปลงข้อกำหนดและเงื่อนไขตามที่ระบุในข้อ 9.1 ที่เป็นประโยชน์หรือลดภาระแก่สมาชิกบัตรจะมีผลใช้บังคับได้ทันทีในวันที่บริษัทกําหนดไว้ ทั้งนี้ บริษัทจะแจ้งให้สมาชิกทราบภายใน 30 วัน หลังมีผลใช้บังคับ

Revision or amendment of terms and conditions prescribed in Clause 9.1 which will be benefit to or reduce the burden to the StarCard Member shall become effective immediately upon the date set by Company. In any case, Company will inform the StarCard Member of such within 30 days following the effective date.  

 

9.3.   สมาชิกบัตรตกลงผูกพันและยอมรับการแก้ไขหรือเปลี่ยนแปลงข้อกำหนดและเงื่อนไขตามที่ระบุในข้อ 9.1– 9.2 โดยไม่มีข้อยกเว้นหรือข้อสงวนสิทธิ์แต่อย่างใด และตกลงสละสิทธ์ที่จะเรียกร้องเพื่อความเสียหายหรือความสูญเสียใด ๆ ที่เกิดขึ้นกับสมาชิกบัตรที่เป็นผลมาจากการแก้ไขหรือเปลี่ยนแปลงข้อกำหนดและเงื่อนไขดังกล่าวจากบริษัท

The StarCard Member agrees to be bound by and accept the revision or amendment of StarCard T&Cs pursuant to Clauses 9.1 – 9.2 with no exception or disclaimer. The StarCard Member agrees to waive its right to claim for damages or losses occurred to the StarCard Member as a result of such revision or amendment of the StarCard T&Cs from Company. 

 

10.    การโอนสิทธิเรียกร้อง/การแปลงหนี้ใหม่

Assignment/Novation  

สมาชิกบัตรตกลงว่าบริษัทมีสิทธิโอนสิทธิเรียกร้องหรือแปลงหนี้ใหม่โดยโอนสิทธิและหน้าที่ของตนภายใต้สัญญาการใช้บัตร StarCard ไม่ว่าทั้งหมดหรือบางส่วนให้แก่บุคคลภายนอกรายหนึ่งหรือหลายราย (“คู่สัญญารายใหม่”) โดยทำคำบอกกล่าวเป็นลายลักษณ์อักษร (“คำบอกกล่าวการโอน”) ไปยังสมาชิกบัตร และ ณ วันที่มีการโอนสิทธิเรียกร้องหรือโอนสิทธิและหน้าที่ตามที่บริษัทได้ระบุไว้ในคำบอกกล่าวการโอนนั้น

(ก)       ในกรณีที่เป็นการโอนสิทธิเรียกร้อง ให้คู่สัญญารายใหม่ได้รับไปซึ่งสิทธิของบริษัทตามที่ระบุในคำบอกกล่าวการโอน และ

(ข)       ในกรณีที่เป็นการแปลงหนี้ใหม่ ให้คู่สัญญารายใหม่มีสถานะเป็นคู่สัญญาของสัญญาการใช้บัตร StarCard แทนบริษัทและได้รับไปซึ่งสิทธิและหน้าที่ตามสัญญาการใช้บัตร StarCard ทั้งหมดของบริษัท โดยบริษัทได้รับการปลดเปลื้องและพ้นจากหน้าที่ผูกพันทั้งปวงตามสัญญาการใช้บัตร StarCard ทุกประการ

The StarCard Member hereby agrees that Company may, upon written notice (the “Transfer Notice”) to StarCard Member, assign its rights, or novate its rights and obligations, under StarCard Agreement, in whole or in part, to a third party or parties (the “Incoming Party”). The Incoming Party shall, on the date of the transfer as notified by Company:

(a)        in the case of an assignment of rights, assume Company’s rights as stipulated in the Transfer Notice; and

(b)        in the case of a novation, become a party to StarCard Agreement in place of Company and assume all of Company’s rights and obligations under StarCard Agreement and Company shall be released and discharged from the performance of all obligations under StarCard Agreement.

 

เว้นแต่จะกำหนดไว้ในข้อกำหนดและเงื่อนไขฉบับนี้เป็นอย่างอื่น คู่สัญญาฝ่ายใดฝ่ายหนึ่งจะโอนสิทธิเรียกร้องหรือแปลงหนี้ใหม่ภายใต้สัญญาฉบับนี้ไม่ว่าทั้งหมดหรือบางส่วนได้ก็ต่อเมื่อได้รับความยินยอมเป็นลายลักษณ์อักษรจากคู่สัญญาอีกฝ่ายหนึ่งก่อนเท่านั้น ทั้งนี้ คู่สัญญาอีกฝ่ายหนึ่งจะต้องไม่ปฏิเสธการให้ความยินยอมดังกล่าวโดยไม่มีเหตุผลอันสมควร สัญญาการใช้บัตร StarCard มีผลผูกพันและเป็นประโยชน์แก่คู่สัญญาทั้งสองฝ่าย รวมถึงผู้สืบสิทธิและผู้รับโอนที่ได้รับอนุญาตด้วย

Save as provided herein, neither party shall assign or novate StarCard Agreement, in whole or in part, without the prior written consent of the other party, which consent shall not be unreasonably withheld. StarCard Agreement shall be binding on and inure to the benefit of the parties and any of their successors or permitted assigns.

 

11.    การรักษาความลับ

Confidentiality

สมาชิกบัตรจะไม่เปิดเผยและจะเก็บรักษาข้อมูลที่ไม่ใช่ข้อมูลที่เปิดเผยในสาธารณะ (ไม่ว่าจะทางวาจา ลายลักษณ์อักษร ทางอิเล็กทรอนิคส์ หรือในรูปแบบใดๆ ก็ตาม) ที่ได้รับทราบจากบริษัทหรือได้รับเนื่องมาจากการเข้าทำสัญญาการใช้บัตร StarCard นี้หรือจากการซื้อสินค้ากับบริษัท (ต่อไปนี้รวมเรียกว่า “ข้อมูลความลับ”)  ไว้เป็นความลับ เว้นแต่กรณีที่สมาชิกบัตรต้องเปิดเผยข้อมูลความลับตามที่กำหนดโดยกฎหมาย คำสั่งศาล หรือหน่วยงานใดของรัฐที่เกี่ยวข้อง หรือเปิดเผยแก่พนักงาน เจ้าหน้าที่ หรือที่ปรึกษาของสมาชิกบัตรผู้ซื่งจำเป็นต้องรู้ข้อมูลดังกล่าวเพื่อวัตถุประสงค์ในการปฏิบัติตามข้อกำหนดและเงื่อนไขฉบับนี้และ/หรือในการซื้อสินค้ากับบริษัท (โดยสมาชิกบัตรจะรับรองว่าพนักงาน เจ้าหน้าที่ หรือที่ปรึกษาของสมาชิกบัตร ผู้ซึ่งได้รับทราบข้อมูลความลับจะปฏิบัติตามข้อกำหนดในข้อนี้) สมาชิกบัตรจะไม่ใช้ข้อมูลความลับเพื่อวัตถุประสงค์อื่นนอกเหนือจากการปฏิบัติตามข้อตกลงในการซื้อสินค้ากับบริษัท หน้าที่ในการรักษาความลับจะมีผลต่อไปไม่มีกำหนดระยะเวลาแม้ว่าข้อตกลงในการซื้อสินค้ากับบริษัทจะสิ้นสุดลง

The StarCard Member shall not disclose and shall treat all non-publicly available information (whether oral, written, electronic or in any other form whatsoever) obtained from Company or obtained due to entering to the StarCard Agreement or from purchasing of products with Company (collectively, “Confidential Information”) as confidential, except that the StarCard Member may disclose Confidential Information as may be required by law, court order or any governmental or regulatory authority or to its employees, officers or advisers who need to know such information for the purposes of complying with this StarCard T&Cs and/or the purchasing of products with Company (and the StarCard Member shall ensure that its employees, officers or advisers to whom it discloses information comply with this Clause). The StarCard Member will not use Confidential Information for any purpose other than to perform its obligations under the purchasing of products with Company. These obligations of confidentiality shall survive indefinite period after termination of the purchasing of products with Company. 

 

12.    กฎหมายที่ใช้บังคับและการระงับข้อพิพาท

Applicable Law and Dispute Resolution

ให้ข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้อยู่ภายใต้บังคับและการตีความตามกฎหมายของประเทศไทย และอยู่ภายใต้เขตอำนาจของศาลไทยในการพิจารณาคดีข้อพิพาท ข้อขัดแย้ง หรือข้อเรียกร้องใดๆ ที่เกิดขึ้นจากหรือเกี่ยวข้องกับข้อกำหนดและเงื่อนไขของข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้

This StarCard T&Cs shall be governed by and construed in accordance with the laws of Thailand and any dispute, conflict or claim arising out of or in connection with the terms and conditions of this StarCard T&Cs shall be resolved by filing a lawsuit to the Thai courts of competent jurisdiction.

 

13.    ธรรมาภิบาล

Compliance Clauses

13.1. สมาชิกบัตร ตลอดจนกรรมการ ลูกจ้าง หรือตัวแทนของสมาชิกบัตรจะ (1) ไม่เข้าไปมีสัมพันธ์ทางธุรกิจกับกรรมการ ลูกจ้าง หรือตัวแทนของบริษัท หรือของบริษัทในเครือของบริษัท โดยปราศจากความยินยอมของบริษัท หรือ (2) ไม่ให้หรือรับจากกรรมการ ลูกจ้าง หรือตัวแทนของบริษัท หรือของบริษัทในเครือของบริษัทซึ่งสิ่งใดที่มีค่าอย่างเป็นสาระสำคัญ สมาชิกบัตรจะต้องทำให้แน่ใจว่าลูกจ้างหรือตัวแทนของสมาชิกบัตรจะปฏิบัติตามข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้

No member of the StarCard Member will, in connection with this StarCard T&Cs, (1) enter into any business arrangement with any director, employee, or agent of Company or any of its affiliates without Company’s prior written consent, or (2) give to or receive from any director, employee, or agent of Company or any of its affiliates anything of more than nominal value. The StarCard Member shall ensure that all members of comply with this StarCard T&Cs.

 

13.2. สมาชิกบัตร ตลอดจนกรรมการ ลูกจ้าง หรือตัวแทนของสมาชิกบัตรจะไม่เสนอจ่ายหรือจ่าย หรือเสนอให้หรือให้สิ่งมีค่าใดๆ แก่เจ้าหน้าที่ราชการ หรือสมาชิกครอบครัวใกล้ชิดของเจ้าหน้าที่ราชการ องค์การมหาชนระหว่างประเทศ หรือแก่พรรคการเมืองใดๆ (รวมถึงเจ้าหน้าที่หรือลูกจ้างของแผนก ตัวแทน หรือหน่วยงานย่อยของราชการหรือองค์การมหาชน) หรือแก่ผู้ที่ได้รับการเสนอชื่อเพื่อดำรงตำแหน่งราชการ เพื่อจะก่อให้เกิดการกระทำหรือตัดสินใจบางอย่าง หรือเพื่อให้ได้มาซึ่งประโยชน์ใดๆ แก่บริษัท บริษัทในเครือของบริษัทและ/หรือสมาชิกบัตรตามข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้

No member of the StarCard Member may, directly or indirectly, offer or make any payment, or offer or give anything of value to any official or immediate family member of an official of any government, public international organization, or political party (including any officer or employee of any department, agency, or instrumentality of any government or public organization), or to any candidate for public office to influence their or its act or decision, or to gain any other advantage for Company, its affiliates, StarCard Member, or any of them arising out of this StarCard T&Cs.

 

13.3. สมาชิกบัตรรับรองว่าไม่มีการกระทำที่ได้เกิดขึ้นก่อนการสมัครเป็นสมาชิกบัตรที่หากได้เกิดขึ้นหลังจากการสมัครเป็นสมาชิกบัตรจะถือเป็นการฝ่าฝืนข้อ 13.1 และ 13.2. และสมาชิกบัตรมีหน้าที่แจ้งให้บริษัททราบโดยทันทีถึงการละเมิดข้อกำหนดในข้อ 13.1, 13.2, หรือ 13.3

The StarCard Member warrants that no event has occurred prior to the application date, which if it had occurred after the application date, would be a violation of Sections 13.1 and 13.2 and the StarCard Member shall immediately notify Company of any violation of Sections 13.1, 13.2, or 13.3.

 

13.4. สมาชิกบัตรจะต้องแจ้งให้บริษัททราบล่วงหน้าอย่างน้อย 90 วันถึงชื่อและที่อยู่ของสมาชิกคนใดของสมาชิกบัตรซึ่งอาจเป็นกลุ่มเป้าหมายหรืออาจถูกควบคุมหรืออาจอยู่ภายใต้การควบคุมของสถาบัน องค์กร หน่วยงาน หรือบุคคลในประเทศใดๆ ที่อยู่ภายใต้การคว่ำบาตรทางเศรษฐกิจ (economic sanctions) หรือข้อจำกัดทางการค้า (trade restrictions) ใดๆ ที่รัฐบาลของประเทศสหรัฐอเมริกากำหนด หรือถูกตัดสิทธิ กีดกัน หรือประกาศว่าไม่มีสิทธิเข้าร่วมในการเข้าทำสัญญากับรัฐบาลสหรัฐอเมริกา หรือสัญญา การอนุญาต หรือโครงการอื่นๆ ที่ได้รับเงินทุนสนับสนุนทั้งหมดหรือบางส่วนจากรัฐบาลสหรัฐอเมริกา หรือได้รับการขึ้นทะเบียนโดยกระทรวงพาณิชย์หรือรัฐบาลสหรัฐอเมริกาว่าเป็นบุคคลที่บุคคลในประเทศสหรัฐอเมริกาไม่สามารถมีส่วนร่วมในธุรกรรมที่เกี่ยวข้องกับการส่งออกหรือส่งออกซ้ำได้

The StarCard Member shall provide Company with 90 days’ advance notice of the names and addresses of any member of the StarCard Member which may be the target of, or owned or subject to control by, any country , institution, organization, entity, or person that is subject to economic sanctions or any trade restrictions imposed by the U.S. government; debarred or excluded or declared ineligible to participate in U.S. government contracts, or contracts, grants, or other programs financed in whole or part by the U.S. government; or listed by the U.S. Departments of Commerce or State as an entity which U.S. persons may not engage in export or re-export related transactions.

 

13.5. ไม่มีข้อกำหนดใดในข้อกำหนดและเงื่อนไขการใช้บัตร StarCard ฉบับนี้ที่กำหนดให้คู่สัญญาฝ่ายใดฝ่ายหนึ่งต้องปฏิบัติตามกฎหมายที่ใช้บังคับหากการกระทำการดังกล่าวอาจก่อให้เกิดการฝ่าฝืนกฎหมายของสหรัฐอเมริกา ซึ่งรวมถึงกฎหมายคว่ำบาตรของสหรัฐอเมริกา

Nothing in this StarCard T&Cs requires either party to comply with applicable laws if such requirement would be inconsistent with U.S. laws, including U.S. anti-boycott laws.
