เรื่อง แจ้งการโอนสิทธิและหน้าที่ของบริษัท เชฟรอน (ไทย) จำกัด (“Chevron” หรือ “เชฟรอน”) ให้แก่บริษัท สตาร์ ฟูเอลส์ มาร์เก็ตติ้ง จำกัด (“SFL” หรือ“บริษัทฯ”) ซึ่งเป็นบริษัทในเครือของบริษัท เชฟรอน (ไทย) จำกัด

1. อ้างถึงข้อกำหนดและเงื่อนไขของระบบสะสมคะแนนคาลเท็กซ์รีวอร์ด (รวมถึงฉบับแก้ไขเพิ่มเติมในแต่ละครั้งคราว) (“ข้อกำหนดฯ”) ถ้อยคำที่ได้มีการให้คำนิยามไว้ในข้อกำหนดฯ แล้วนั้น ให้คงมีความหมายเช่นเดิมเมื่อนำมาใช้ในหนังสือฉบับนี้ เว้นแต่จะได้ให้คำจำกัดความไว้เป็นอย่างอื่นในหนังสือฉบับนี้
2. เมื่อวันที่ 31 มกราคม 2566 ที่ประชุมผู้ถือหุ้นของบริษัท สตาร์ ปิโตรเลียม รีไฟน์นิ่ง จำกัด (มหาชน) (“SPRC”) ได้มีมติให้ความเห็นชอบการเข้าซื้อกิจการน้ำมันเชื้อเพลิงของ Chevron และกิจการอื่นที่เกี่ยวข้อง (“ธุรกรรมการเข้าซื้อกิจการ”) เพื่อให้เป็นไปตามแผนการปรับโครงสร้างภายในเพื่อวัตถุประสงค์ในการทำธุรกรรมการเข้าซื้อกิจการดังกล่าว (“การปรับโครงสร้างภายใน”) Chevron จะโอนสิทธิและหน้าที่ภายใต้ข้อกำหนดฯ ให้แก่ SFL และจะมีการโอนหุ้นของ SFL ให้แก่ SPRC ต่อไป ณ วันที่ธุรกรรมดังกล่าวข้างต้นเสร็จสมบูรณ์

3. โดยหนังสือฉบับนี้ Chevron ขอแจ้งให้สมาชิกทราบถึงการโอนสิทธิและหน้าที่ของ Chevron ภายใต้ ข้อกำหนดฯ ให้แก่ SFL (“การโอนสัญญา”) ทั้งนี้ ตามที่กำหนดไว้ในข้อ 16.3(ข) ของข้อกำหนดฯ
4. ในการโอนสัญญาดังกล่าว นับตั้งแต่วันที่การปรับโครงสร้างภายในดำเนินการแล้วเสร็จ (ซึ่งจะแจ้งให้ท่านทราบต่อไป) (“วันที่การโอนสัญญามีผล”)
(ก) Chevron จะดำเนินการแปลงหนี้ใหม่ โอน และมอบสิทธิ หน้าที่และความรับผิดทั้งหมดของตนภายใต้ข้อกำหนดฯ รวมทั้งสิทธิและหน้าที่ที่เกี่ยวข้อง ซึ่งยังคงมีอยู่ ณ วันที่การโอนสัญญามีผล ให้แก่ SFL
(ข) Chevron จะได้รับการปลดเปลื้องและหลุดพ้นจากภาระหน้าที่ผูกพันทั้งปวงตามข้อกำหนดฯ โดย SFL จะเข้ารับปฏิบัติตามหน้าที่ตามข้อกำหนดฯ แทนทุกประการ
(ง) ถ้อยคำที่ระบุถึง “บริษัท เชฟรอน (ไทย) จำกัด” ในข้อกำหนดฯ ให้แทนที่ด้วย “บริษัท สตาร์ ฟูเอลส์ มาร์เก็ตติ้ง จำกัด” แทน
(จ) ถ้อยคำที่ระบุถึง “Chevron” หรือ “เชฟรอน” (แล้วแต่กรณี) ในข้อกำหนดฯ ให้แทนที่ด้วย “SFL” หรือ“บริษัทฯ”แทน และ
(ฉ) คำบอกกล่าวหรือการสื่อสารในลักษณะอื่นใดที่สมาชิกต้องการส่งถึง SFL ให้ส่งตามรายละเอียดด้านล่างนี้

5. หนังสือฉบับนี้จะถูกตีความเสมือนเป็นส่วนเพิ่มเติมและเป็นส่วนหนึ่งของข้อกำหนดฯ โดยให้อ่านประกอบกันไป หนังสือฉบับนี้และหน้าที่อื่นใดที่ไม่ใช่หน้าที่ตามสัญญาแต่เกิดจากหรือเกี่ยวข้องกับหนังสือฉบับนี้ให้อยู่ภายใต้บังคับของกฎหมายไทยทุกประการ

Subject: Notification of the transfer of Chevron (Thailand) Limited’s (“Chevron”) contractual rights and obligations to an affiliate, Star Fuels Marketing Limited (“SFL”)
Dear Caltex Rewards Member (Member),
1. We refer to the TERMS AND CONDITIONS FOR CALTEX REWARDS PROGRAMME, as amended from time to time (the Terms). Unless defined otherwise in this letter, capitalized terms and expressions used herein shall have the same meanings as defined in the Terms.
2. On 31 January 2023, Star Petroleum Refining Public Company Limited (SPRC) obtained its shareholders’ approval to acquire Chevron’s fuels business and other businesses relating to its operation (the Transaction). As part of an internal re-organisation for the purpose of the Transaction (the Internal Re-organisation), Chevron will transfer its rights and obligations under the Terms to SFL, whose shares will subsequently be transferred to SPRC at the completion of the Transaction.

3. By this letter, and with reference to paragraph 16.3(b) of the Terms, we hereby notify the Member of the transfer of all of the rights and obligations of Chevron under the Terms to SFL (the Transfer).
4. In connection with the Transfer, on and from the date of completion of the Internal Re-organisation (which will be notified to the Member) (the Transfer Effective Date):
(a) Chevron will novate, transfer and assign all of Chevron’s rights, obligations and liabilities under the Terms, including in relation to any relevant rights and obligations thereunder, which remain outstanding on the Transfer Effective Date to SFL;
(b) Chevron shall be released and discharged from the performance of all obligations under the Terms and SFL shall perform such obligations under the Terms in place of Chevron;
(c) all references to “Chevron (Thailand) Limited” in the Terms shall be replaced with “Star Fuels Marketing Limited”;
(d) all references to “Chevron” (as applicable) in the Terms shall be replaced with references to “SFL”; and
(e) any notices or other communications sent by the Member to SFL shall be sent to the following details:

5. This letter shall be construed as supplementing and forming part of each of the Terms and shall be read accordingly. This letter and any non-contractual obligations arising out of or in connection with it are governed by Thai law.
